I don't think so, since you forget in your calculation the additional 99 Euro Genesi would get from re-selling your exchanged Peg-1 board.
And even if someone would then expect at least a discount of 100 Euro (200 Euro from upgrade offer minus 99 Euro for re-sale of the exchanged board), I'd doubt this, since it would still mean a loss for Genesi: re-selling your old board to a Phoenix developer benefits them more than one developer having several Pegs.
