What do you mean by it is dead?  Was it working and now won't power on, or power comes on but just black screen?  Can you be more specific?  The 040 board typical issue is the caps, usually the CPU itself is fine.  Another thing is that the connector isn't all that great also try reseating the board and before reseating it when you separate the board from the MB clean the contact connectors as well.

I just recently raised mine from the dead.  Needed new caps on the 040 board, a little cleanup and a new HDD.  Replaced the HDD with a 4GB C.F. card from Amigakit ($29 after shipping to U.S.).  After caps cleaned 040 card connector, RAM connectors and fixed a few bare traces.  Now she runs super fast and stable with OS 3.9 and is beautiful :)
