Null-modem cable.  Null-modem driver on Aminet.  Follow the instructions (basically involves dialing up from both machines after a bit of configuration).  I haven't tried using the PC as a pass-through to the Internet, but if you set the gateway IP address on the Amiga to be that of the PC, I imagine this would work.  It may say how to do it in the instructions, can't remember.

It does work with W2k, I have connected up my A1200 and a w2k laptop with a null-modem cable and that driver with no problems.  The procedure on 2000 is slightly different to that of 9x, but just set it up as a "connection to the internet" and set the parameters as per the 9x instructions and you should be fine.  However, as I said, I haven't tried sharing an Internet connection, but can connect to the laptop shares with smbfs, and connect from the laptop to inetd servers (ftp, http, etc) on the Amiga, and even used the Amiga as a WINS server with Samba (couldn't get the laptop to log onto my Samba domain and access the shares though, but think this was due to me using a demo of MiamiDx)

You have to follow the Miami instructions in the archive to the letter, I tried a different connection speed and it failed, so double-check everything is set correctly.

The script in Miami needs to be something like:

(that's from memory, I'm sure it should be longer)

Might be worth setting "show terminal window" on the 2k machine and seeing if anything pops up on there.  Make sure you are using "Generic NULL modem" and not one of the "connection between two PCs" drivers.
