They would most probably have to change the GUI elements to something other than the standard AmigaOS look. They also have to worry about unintentional deception. If someone thinks they are getting AmigaOS, they could have a problem. If MOS requires AmigaOS component in any way they would need a licence.  
Now if, as stated, they write something that does everything that AmigaOS does and runs Amiga programs, they will probably be fine. It would be like the cloning of the PC BIOS that gave us the IBM compatable or of the cloning MAC BIOS that gave us the short lived MAC clone market.
Now if they have seen any of the AmigaOS source code, as Mr. Schmidt has stated he did, then they could have all sorts of problems.

Whoops... I am corrected. That should be Apple BIOS not Mac ROM.  Franklin got sued by Apple over it's clones.
